Indore-Based Active Pharmaceutical Ingredient Maker Prepares Rs 1,757 Crore Public Issue For Late August Launch

Indore-headquartered Symbiotec Pharmalab Ltd is launching a Rs 1,757 crore IPO with a price band of Rs 938-988 per share. The issue opens for subscription on August 24.

Indore-headquartered pharmaceutical and biotechnology enterprise Symbiotec Pharmalab Ltd has finalized the schedule and structural parameters for its upcoming Initial Public Offering (IPO). The company plans to raise Rs 1,757 crore through the public offer, which is scheduled to open for bidding on August 24 and close on August 27. Ahead of the public opening, bidding for anchor investors will take place on August 21. The market entry comes during a phase of sustained activity across India's primary equity market, with multiple corporate entities securing capital through public share sales.

Offer Structure and Corporate Valuation

The price band for the equity shares has been established between Rs 938 and Rs 988 per equity share. At the upper limit of Rs 988, Symbiotec Pharmalab achieves an estimated market valuation of approximately Rs 6,350 crore. The Rs 1,757 crore fundraising is organized as a dual-component issue, incorporating both primary share creation and secondary share liquidation.

Specifically, the transaction comprises a fresh issuance of equity shares aggregating up to Rs 150 crore. Alongside the fresh issue, an Offer For Sale (OFS) segment will see existing equity holders divest shares valued at up to Rs 1,607 crore. Entities participating in the OFS include promoter entity Satwani Holdings LLP, together with institutional investment funds Rosewood Investments and India Business Excellence Fund-III.

Utilization of Fresh Capital and Operational Focus

The proceeds generated from the fresh issue portion of Rs 150 crore are designated for specific financial objectives. Symbiotec Pharmalab intends to deploy the fresh capital primarily toward the repayment of existing debt liabilities, with the remaining balance allocated to cover general corporate expenses.

Operationally, the Indore-based firm operates as a research and development-driven pharmaceutical and biotechnology manufacturer. Its technical expertise spans three distinct operating platforms: organic chemistry, biotechnology, and complex injectables. Furthermore, Symbiotec maintains a globally recognized position in the production of active pharmaceutical ingredients (APIs), specializing particularly in corticosteroids and steroidal-hormone APIs.

Investor Allocation Quotas and Stock Exchange Listing

To ensure structured distribution across market participants, the net issue has been divided into defined reservation quotas. Qualified Institutional Buyers (QIBs) have been allocated 50 per cent of the net issue. Non-Institutional Investors (NIIs) receive a 15 per cent reservation, while the remaining 35 per cent is reserved for retail individual investors.

Following the closure of the subscription window on August 27, the company's equity shares are scheduled for listing on both major national exchanges, the BSE and the NSE, on September 1.

Issue Managers and Administrative Entities

To oversee the execution of the public issue, Symbiotec Pharmalab has engaged a team of book-running lead managers. The syndicate comprises JM Financial, Avendus Capital, Motilal Oswal, and Nomura Financial. Meanwhile, MUFG Intime India Pvt Ltd has been appointed to serve as the registrar for the transaction.
