In a major development reshaping the domestic financial services landscape, Kotak Mahindra Bank has received regulatory clearance to acquire the retail and private banking businesses of German multinational lender Deutsche Bank in India. The Competition Commission of India announced its formal approval for the proposed acquisition on Tuesday, marking the completion of an essential regulatory milestone. The deal encompasses the transfer of wealth management operations alongside branch-based retail and private banking services to the domestic private lender.
Business Transfer Structured Through a Slump Sale
Details outlined by the antitrust regulator confirm that the takeover will be executed via a slump sale mechanism. In legal and corporate restructuring terms, a slump sale represents the complete transfer of a business undertaking as a going concern for a lump-sum consideration, without assigning individual values to specific assets and liabilities. This approach ensures that the operations running across Deutsche Bank branches in India will shift to Kotak Mahindra Bank in their current operational form, maintaining continuity for existing account holders, branch touchpoints, and investment workflows.
Scale of the Portfolio and Asset Under Management Figures
The definitive framework for the transaction was formally signed by both banking institutions in June. Disclosures released during the agreement outline that the business perimeter being acquired encompasses an active loan book of approximately 29,000 crore rupees. Furthermore, the operational portfolio carries customer deposits totaling roughly 16,000 crore rupees, providing immediate liquidity and customer relationships to the acquiring bank.
The portfolio also brings around 10,500 crore rupees in assets under management. Within professional wealth services, assets under management denote the aggregate volume of investment capital and financial instruments managed on behalf of institutional and affluent retail clients. Integrating this book will deliver an immediate scale advantage to Kotak Mahindra Bank's high-net-worth client offerings, private advisory segment, and broader wealth management division.
Referral Linkages for Wealth and Advisory Services
Beyond standard core banking activities, the structural agreement also sets up a collaborative referral mechanism connecting the operating entities of both groups. Under this arrangement, clients currently receiving investment advisory and portfolio management services through Deutsche Investments India will be transitioned to the appropriate wholly owned subsidiaries of Kotak Mahindra Bank. Deutsche Investments India serves as an indirect wholly owned subsidiary of Deutsche Bank, and its specialized clientele will now be handled through the Indian financial conglomerate's specialized investment desks.
Underlying Scale of Both Banking Institutions
Established in 1985, Kotak Mahindra Group has grown into one of India's preeminent financial conglomerates with extensive exposure across corporate banking, consumer finance, and capital markets. Group assets stood at 10,03,353 crore rupees as of March 31, 2026. Conversely, Deutsche Bank operates as Germany's largest banking institution, anchoring deep corporate and institutional banking networks across Europe, the Americas, and the Asia-Pacific region. This approved handover highlights a continuing consolidation wave in India where global banks refine their regional strategy by transferring retail consumer books to established local banking leaders.
