Marking a transformative turning point in India's banking privatization roadmap, the Union Cabinet has formally approved the sale of a controlling 60.72 percent stake in IDBI Bank. The landmark resolution was ratified on Wednesday during a meeting of the Cabinet Committee on Economic Affairs (CCEA), presided over by Prime Minister Narendra Modi. Under the cleared framework, Canadian financial conglomerate Fairfax Financial Holdings Limited will acquire control for an aggregate transaction value of Rs 52,878.08 crore. This divestment stands as India's largest strategic disinvestment since the sale of Air India.
Record Foreign Direct Investment in the Financial Domain
The transaction is slated to deliver the largest single foreign direct investment (FDI) inflow into the domestic financial services sector to date. Official statements highlighted that this milestone represents the culmination of a protracted divestment process spanning more than five years. Briefing media personnel regarding the ministerial decision, Minister of Information and Broadcasting Ashwini Vaishnaw elaborated on the strategic restructuring of IDBI Bank, framing it as a decisive measure toward modernizing asset management and reinforcing capital stability across the industry.
Joint Equity Structure of the Union Government and LIC
The disinvestment model combines equity transfers from both the central administration and state-owned insurer Life Insurance Corporation of India (LIC). As per the Cabinet clearance, the acquisition vehicle is registered as M/s 10955230 Canada Inc, an operating entity under parent firm Fairfax Financial Holdings Limited. The comprehensive 60.72 percent equity package comprises a 30.48 percent stake shed by the Government of India, alongside a 30.24 percent stake relinquished by LIC. Following closing protocols and requisite regulatory endorsements, operational management will migrate to Fairfax.
Residual Shareholding and Open Offer Obligations
Once the multi-stage transaction wraps up, the original government-backed promoters will retain substantial non-controlling equity positions in IDBI Bank. The central government will preserve a 15 percent stake, while LIC will retain a 19 percent holding, leaving domestic institutional participation at an aggregate 34 percent. In accordance with standard statutory takeover codes, Fairfax will be mandated to launch an open offer for minority shareholders to facilitate equitable secondary market participation.
Completion Deadlines and Regulatory Conditions on CSB Bank
Arunish Chawla, Secretary of the Department of Investment and Public Asset Management (DIPAM), stated that the entire acquisition agreement is scheduled for completion within the current financial year. Addressing internal workforce considerations, Chawla emphasized that the institutional interests of existing IDBI Bank employees will receive full protection. Furthermore, the transaction imposes a clear structural mandate on Fairfax due to its existing equity interest in CSB Bank. To eliminate cross-holding and competitive conflicts, Fairfax must either execute a full merger of CSB Bank into IDBI Bank within two years or divest its stake entirely to exit CSB Bank.
