According to the regulatory submission, Gemini Trust Company, an operating affiliate of the sponsor, will act as the digital asset custodian responsible for safeguarding the Trust's physical ZEC holdings. The proposed fund structure intends to issue an unspecified volume of common shares on an ongoing basis. Creation and redemption mechanics will be managed primarily through cash transactions executed by designated authorized participants, establishing an orderly arbitrage framework. The annual sponsor management fee has been established at 0.25%.
Cypherpunk Technologies has been formally designated in the filing as the official Zcash Ecosystem Partner to the Trust. Its core scope of work includes delivering protocol-level technical guidance and coordinating matters that affect the interests of ZEC holders. Demonstrating internal institutional conviction, Winklevoss Capital Fund registered non-binding interest to acquire up to $100 million worth of the ETF's shares through its affiliated corporate entities, providing a sizable cornerstone commitment ahead of trading commencement.
Fortitude Mining Secures $100 Million BITMAIN Agreement
Parallel to the ETF product filing, industrial-scale mining operations behind the privacy network confirmed capital allocations. Fortitude Mining executed a $100 million letter of intent with hardware manufacturer BITMAIN. Under the terms of the arrangement, Fortitude Mining secures priority commercial access to next-generation Zcash ASIC mining rigs scheduled for delivery beginning in 2027. The agreement positions the mining firm to scale computational power as proof-of-work security specifications advance.

The filing by Winklevoss Asset Services arrives against a shifting landscape for regulated Zcash investment vehicles. Grayscale introduced the debut US spot Zcash ETF, trading under ticker ZCSH, in August following a period of strong underlying spot performance. That product launched with approximately $304 million in assets under management and surged to nearly $1 billion by September as secondary market valuations advanced.
However, immediate vehicle momentum has moderated across recent trading days. ZCSH recorded roughly $3.5 million in net capital outflows on Monday, coming directly on the heels of back-to-back redemptions last week that accumulated to $93 million. These combined redemptions have brought total net outflows since October 1 to $58.76 million. Even with the recent profit-taking cycle, total cumulative net inflows for the Grayscale vehicle remain in positive territory since its initial market introduction.

The institutional developments coincide with a broader price recovery across the Zcash token market that first initiated in May before accelerating sharply toward the end of August. ZEC advanced to a fresh cycle peak of $1,664 last week, followed by a corrective pullback that pushed prices back below $1,400.
At the time of writing, ZEC is changing hands at $1,350, marking a 1% gain over the preceding 24 hours. The token reflects a 7.5% price increase over the last 30 days and has generated an expansive 164% advance since the start of the calendar year.
