Indian commercial vehicle manufacturing giant Tata Motors has completed a decisive European expansion by securing an 89.42 percent stake in Italian truck specialist Iveco. Valued at 3.43 billion euros, the mega transaction creates a consolidated commercial vehicle entity boasting an aggregate turnover of 21 billion euros, or roughly 2.28 lakh crore rupees. The scale of the combined enterprise elevates Tata Motors to the position of the world's fourth largest manufacturer of commercial vehicles. The company confirmed that its holding reached 89.42 percent following the initial settlement of a cash tender offer, with remaining procedural elements of the acquisition still underway.
The Group's Largest Cross-Border Acquisition Since Jaguar Land Rover
Once all acquisition steps reach final closure, Iveco will operate as an indirect subsidiary of Tata Motors. This milestone represents the group's largest strategic takeover since its historic purchase of Jaguar Land Rover from Ford in 2008. The Italian automotive group brings significant industrial heft to the alliance, employing approximately 33,000 professionals worldwide alongside an extensive operational footprint that features 16 manufacturing plants and 22 dedicated research and development facilities.
Tender Window Reopens Between November 2 and 6 for Remaining Investors
The transaction settlement follows the conclusion of the initial acceptance window for the voluntary takeover bid. Under the agreed terms of the cash proposal, Tata Motors offered 14.4 euros per ordinary share to Iveco equity holders. To give remaining shareholders an additional window to tender their stock, the purchase offer will be reopened across five trading sessions spanning November 2 to November 6, 2026. Financial settlement for the shares submitted during this extended window is scheduled for November 13.
Projected Revenue Growth, Sales Volume Expansion and Profitability Outlook
Speaking at a joint media briefing convened at Iveco's corporate headquarters in Turin, Italy, leadership outlined the commercial scale and prospective growth trajectory of the merged business operations. Tata Sons Chairman N. Chandrasekaran noted strong commercial momentum ahead, observing that sales volume and revenue are expected to experience substantial expansion over the next five years. He added that alongside top-line growth, the operational synergies will drive noticeable improvements in profit margins across the business.
Executive Leadership Appointments and Bourse Delisting Path
Addressing market mechanics, Tata Motors Managing Director and CEO Girish Wagh declined to provide an exact target date for delisting Iveco from Italian equity exchanges, though he noted that the formal procedure will conclude shortly. As part of the corporate governance restructuring, N. Chandrasekaran has been appointed Chairperson and Senior Non-Executive Director of Iveco, while Olof Persson continues to lead executive operations as Iveco's Chief Executive Officer.
